Purpose: These Studio Policy & Service Terms set the default working rules for direct GospelCO engagements. Each project should still have a written quotation/order confirmation specifying the actual deliverables, price, deadline, revision rounds, payment schedule, usage rights and post-launch support. A public policy cannot replace a properly scoped contract or override mandatory legal rights.

1. Who these terms apply to

“GospelCO” or “the Studio” refers to the creative brand operated by Olámide Gospel. The contracting party is the individual or entity named in the accepted quotation, invoice, contract or platform order. These terms apply to direct enquiries and engagements unless a written project agreement states otherwise. If work is purchased through Upwork, Fiverr or another marketplace, that platform’s applicable user agreement, order/contract terms, payment rules and dispute process also apply; these terms do not override the platform agreement.

Nothing in this policy creates employment, a legal partnership, a joint venture or authority for either party to bind the other. Any company registration or tax details required for a particular engagement should be confirmed in the project’s invoice/contract.

2. Quotes, prices and project scope

A WhatsApp enquiry, project-cart selection or request for a quote is not by itself a confirmed order. A project is booked when GospelCO has confirmed scope, price, timing, required inputs and payment terms in writing and the client accepts them and makes the required payment.

A quote should state, where relevant: deliverables and quantity; dimensions/formats/pages; platform or intended use; the number of revision rounds; included source/editable files; timeline and dependencies; what is excluded; third-party costs/subscriptions; payment milestones; licence/ownership terms; and post-launch support. Website quotes should distinguish design/development from domain, hosting, premium plugins, paid themes, stock, email, maintenance, payment fees, and ongoing content work.

Prices shown on the website are package guides or starting prices only where labelled that way. The accepted quote controls the price and scope. Currency, taxes, transaction fees, rush fees and third-party costs should be disclosed before the client accepts. No hidden add-on should be charged without an agreed basis.

3. Deposits, milestones and payment

  • Unless the written quote says otherwise, production begins after the agreed deposit or full payment is received and cleared.
  • For larger projects, the quote may set milestone payments tied to discovery, draft approval, development, delivery or launch.
  • Final unwatermarked/export files, source-file transfer, ownership assignment, site transfer or launch handover may be withheld until the agreed balance is paid, except where the written agreement or law requires otherwise.
  • If an invoice becomes overdue, GospelCO may pause work after giving reasonable written notice. Dates may move, and any rebooking costs must be disclosed and agreed before they are charged.
  • Payments and refunds routed through a marketplace must follow that platform's payment and escrow rules. Do not ask a marketplace client to bypass the platform where its rules prohibit off-platform payment.

4. Client responsibilities and approvals

The client is responsible for giving accurate instructions, timely access, approved copy, product information, pricing, contact details, images, music, logos, account permissions and other necessary materials. The client must ensure it has the necessary rights and authority to provide those materials and to request the intended use.

Before approving final work, the client should check spelling, names, prices, dates, legal claims, product descriptions, contact details, dimensions and platform requirements. A client must not provide false testimonials, misleading product claims, unlicensed assets, unlawful instructions or private data that it has no authority to share. GospelCO may ask for proof of rights, request a replacement asset or refuse/pause a request that creates material legal, safety or platform risk.

For websites, the client should retain control of its domain and major business accounts wherever possible, provide the minimum access required, and keep its own credentials secure. GospelCO should not be sent one-time passwords, banking PINs or unnecessary sensitive information.

5. Revisions, rework and scope changes

The accepted quote/package defines the included revision rounds. If it is silent, the default for a standard design deliverable is two consolidated rounds of reasonable revisions to the selected direction. A “round” means one organised set of feedback from the client, rather than a succession of separate messages.

Revisions refine the approved brief and selected concept. A new direction, replacement concept after approval, additional size/page/variation, new copy after sign-off, extra deliverable, new integration, additional video length, or work caused by inaccurate late-supplied material may be outside scope. GospelCO will describe the change, price and timeline impact and seek approval before doing chargeable out-of-scope work.

6. Timelines, urgent work and pauses

Turnaround begins only after the required brief, materials, access, approvals and payment are complete. Any advertised quick turnaround applies only to the deliverable and conditions stated in the package or quote. Changes in scope, client response delays, unavailable third-party services, platform review, complex revisions or late assets can affect timing. A delivery estimate is not a promise of a particular commercial result.

If a client pauses a project or does not respond for more than 14 calendar days, GospelCO may reschedule the remaining work around other bookings. A restart/rescheduling fee will be charged only when disclosed and accepted in writing. Rush work must be agreed before production and may cost more.

7. Cancellation, refunds and termination

Either party may raise a cancellation request in writing. If the client cancels after work begins, the parties should account for completed work, reserved time reasonably committed to the project and authorised non-recoverable third-party costs. Any balance due or refund should be calculated from the agreed milestones, work performed and applicable law. A deposit is not automatically forfeited in every circumstance; any specific cancellation charge must be communicated before acceptance and remain subject to mandatory consumer rights.

If GospelCO cancels without client breach, the client should receive the work it has paid for to the extent reasonably deliverable, together with any refund due under the agreement and applicable law. GospelCO may suspend or terminate an engagement for non-payment, abusive conduct, materially unlawful instructions, repeated rights violations, or a serious security risk after appropriate notice where practicable. Any unfinished work, access removal, refunds and handover should be resolved in writing.

Nothing in these terms waives statutory rights or remedies that cannot lawfully be excluded. For consumer-facing bookings or cancellations, the parties should comply with applicable consumer protection rules, including any relevant rights explained by the Federal Competition and Consumer Protection Commission.

8. Delivery, file formats and source files

GospelCO will supply the deliverables and formats listed in the accepted quote. “Final files” does not automatically include unused concepts, working drafts, prompt histories, raw footage, project files, source code, editable design files, font files, paid stock originals, software licences, proprietary templates or third-party account access unless expressly included.

Where source/editable files are included, the quote should identify which files, formats, linked assets and fonts are provided and any licence restrictions. Some assets may need to be replaced, outlined, flattened or delivered in a permitted format because their separate licence does not allow transfer. The client should download and back up final files upon delivery; long-term archival or guaranteed re-download is not included unless written.

9. Intellectual property and usage rights

Ownership and licence terms must be stated in the accepted quote for each project. Unless a written agreement expressly assigns copyright or grants exclusive rights, the default after full payment is a perpetual, worldwide, non-exclusive commercial licence to use the final approved deliverables for the business/purpose described in the quote. The client does not automatically receive ownership of unused concepts, working files, pre-existing GospelCO methods/templates, reusable code, or tools.

If an explicit copyright assignment or exclusive licence is agreed, its scope, territory, duration, covered files and transfer date should be recorded in writing; transfer is effective after the agreed payments clear unless the agreement says otherwise. Third-party materials remain subject to their own licence terms and cannot be transferred beyond the rights obtained. Moral rights, attribution rights or statutory rights may apply and are not overridden by a generic “full rights” phrase.

GospelCO will not knowingly claim ownership of a client’s pre-existing materials. The client retains rights in its supplied materials and grants GospelCO the limited permission needed to perform the project. The client should not assume that payment makes every stock, font, music, plugin, AI output or third-party logo exclusive or copyright-protectable.

10. Third-party assets, software and subscriptions

Projects may involve licensed stock photos/video/audio, fonts, icon sets, themes, plugins, open-source libraries, templates, hosting, domain registrars, website builders, CMS products, APIs, payment processors, stock/music libraries and other third-party tools. Their terms can limit redistribution, sublicensing, resale, use in templates, seat count, territory, duration, broadcast/commercial use or transfer to a new account.

GospelCO will use such assets according to applicable terms that have been checked for the planned use, to the extent reasonably possible. A credit line does not replace a required licence. Unless the quote includes the cost, clients are responsible for renewing their own domain, hosting, plugin, font, stock, platform or software subscriptions after handover. A third-party vendor can change its price, availability, features or terms outside GospelCO's control.

11. AI-assisted production, synthetic voice and originality

GospelCO may use AI tools as part of human-directed creative work: research/ideation, scripts, visual concepts, image/video generation, voiceover, editing assistance, captions, web copy, code support or production workflows. AI-generated material is reviewed and refined to the agreed brief, but tool outputs can be similar to outputs produced for others and their rights/exclusivity may vary by tool, plan, inputs and law.

  • Clients who require no AI use must say so before acceptance; GospelCO will confirm if that workflow is available.
  • The client must have permission for likenesses, voices, logos, music, source images and other inputs submitted for AI processing.
  • GospelCO will not knowingly create non-consensual sexual imagery, deceptive impersonations, fraudulent documents, fake endorsements or harmful deepfakes.
  • Realistic synthetic content may require disclosure or a native platform label. The person posting or advertising it must follow the relevant platform rules and applicable law.
  • Unless specifically agreed, no guarantee is made that an AI output is unique, eligible for exclusive copyright protection, free of all third-party similarity or suitable for trademark registration.

When the distinction is material to the service, the quote or delivery note should identify AI-assisted elements and any limits that affect use. See Credits & AI Disclosure.

12. Websites, hosting, security, maintenance and integrations

A website project includes only the pages, functionality, integrations, browser/support scope, content, revisions and handover listed in the quote. Domain registration, hosting, email, paid themes/plugins, content writing, product entry, payment gateway configuration, SEO campaigns, accessibility audits, legal compliance review, ongoing maintenance and emergency support are excluded unless included in writing.

Where possible, domain and hosting accounts should be registered in the client’s name, with agreed admin access at handover. The client is responsible for renewing subscriptions, keeping credentials secure, reviewing backups and maintaining systems after any included support period. GospelCO cannot guarantee uninterrupted third-party hosting, absolute security, freedom from every vulnerability, permanent plugin compatibility, payment provider availability or that search engines will index/rank a website in a particular position.

Bug-fix support, if included, covers defects that make the delivered website materially fail to match the agreed specification during the stated support period. It does not include new features, new content, third-party outages, client edits, compromised passwords, expired licences, browser/vendor changes or issues outside the agreed scope unless separately agreed.

13. Marketing, SEO, ads and business outcomes

GospelCO may help with creative strategy, social content, web presence, search optimisation or ad creatives. Audience response, reach, views, engagement, sales, leads, search rankings, platform approval and return on ad spend depend on factors outside the Studio’s control, including offer, budget, targeting, competitors, distribution, platform algorithms, audience behaviour and client follow-through.

Unless a written contract defines measurable guarantees and their conditions, results are not guaranteed. Clients must verify the truth and substantiation of product, medical, financial, educational, comparative, testimonial, discount and performance claims. Clients remain responsible for regulated-sector approvals, licences, prices, promotions and final sign-off. GospelCO may decline misleading or prohibited claims and cannot guarantee an advert or account will be approved by a platform.

14. Confidentiality, privacy and client information

Each party should use the other party’s non-public project information only for the engagement and protect it with reasonable care. GospelCO will not intentionally publish confidential client information or use client materials beyond the agreed work. Clients who require formal confidentiality, delayed publication, an NDA, limited access, data localisation or a specific retention/deletion commitment must raise it before the project begins so the terms can be agreed in writing.

Do not assume that a WhatsApp conversation, ordinary email or website enquiry is a signed NDA. GospelCO will not knowingly feed material marked confidential into an external AI service without appropriate authorisation and review of the tool’s settings/terms. If a project processes personal data about the client’s customers, a separate data-processing arrangement may be needed. See the Privacy Policy.

15. Portfolio display, credit and testimonials

GospelCO may request permission to display completed work, approved excerpts, a client name/logo, a testimonial or a case study to demonstrate its services. Public display is subject to client confidentiality, any NDA, embargo, platform rules and any project-specific agreement. If permission is not granted or the work is confidential, GospelCO will not knowingly publish it merely because the project was completed.

Any published testimonial or result must be genuine and supported by appropriate permission or lawful basis. Speculative concepts must be labelled as concepts and must not be presented as commissioned work, an official brand campaign, a partnership or a measured client result. Credit is provided where required by a licence, agreed by the parties or appropriate to the asset; credit does not create rights that do not otherwise exist.

16. Upwork, Fiverr and other freelance platforms

Where a project is initiated or ordered through a freelance marketplace, the platform’s active terms, order requirements, messaging rules, payment/escrow process, intellectual-property provisions, AI/content standards, cancellation process and dispute mechanism govern that marketplace transaction. These website terms supplement but do not override those rules.

GospelCO will not ask a client to evade platform fees, move payment off-platform or share contact details in a way prohibited by the platform. Clients should keep deliverables, approvals, milestones and relevant communication on the marketplace where required. If platform terms conflict with these general terms, the platform contract controls the platform engagement to the extent of that conflict. The parties must review current policies because platforms may update them.

17. Warranties, limitations and client protection

GospelCO will use reasonable skill and care to deliver the agreed scope. Except for promises explicitly written into the quote and rights that cannot lawfully be excluded, no promise is made that design or marketing work will create a particular sales, revenue, virality, ranking or audience result. Third-party services are supplied subject to their own availability and terms.

To the extent permitted by applicable law, neither party is liable to the other for indirect or consequential loss that was not reasonably foreseeable, including lost profit caused by external platform outage, unapproved client changes or failure to provide inputs. Nothing here excludes liability that cannot lawfully be excluded, or liability for fraud, deliberate wrongdoing or other non-excludable conduct.

To the extent permitted by law, the client remains responsible for claims caused by materials/instructions it supplied without the necessary rights or by materially false claims it approved. This does not remove GospelCO’s responsibility for its own breach or misconduct. Where a claim arises, the parties should promptly notify each other, preserve relevant records and cooperate reasonably to limit harm.

18. Unforeseen events and changes

Neither party is responsible for a delay caused by events outside reasonable control, such as major network/hosting failures, outages at essential third-party providers, disasters, widespread service disruption, public emergency or legal restriction, provided the affected party communicates reasonably and resumes performance when practicable. If the delay makes the project impracticable, the parties should agree on a fair close-out of work done, expenses and any refundable balance.

19. Complaints, governing law and dispute resolution

If something is wrong, the client should first send a clear written notice identifying the project, deliverable, issue and requested remedy. GospelCO will review the brief, accepted quote, approvals, payment and delivery record. The parties should try to resolve a direct engagement in good faith before filing proceedings, unless urgent relief or a legal deadline requires earlier action.

Direct engagements are intended to be governed by the laws of the Federal Republic of Nigeria, subject to mandatory law and any valid written dispute clause. Courts with lawful jurisdiction in Ogun State, Nigeria are the proposed venue for direct disputes unless a project-specific agreement or applicable law requires another forum. A marketplace engagement uses that platform’s applicable dispute process. Have a Nigerian lawyer review this clause before treating it as final.

20. Order of precedence and acceptance

The project-specific signed agreement or accepted quote controls any specific scope, price, deadline, usage rights or service promise that differs from this general policy. Marketplace terms control marketplace orders as described above. If any clause is unenforceable, the remaining clauses should continue to apply to the extent permitted by law. These terms may be updated prospectively; the version accepted for an existing project should not be changed retroactively without agreement or a legal basis.

By accepting a quotation, contract or order confirmation and making the required payment, the client confirms that the applicable scope and terms have been made available. Questions before kickoff should be directed to gospelgfxdesigns@gmail.com or the contact route in the accepted marketplace order.
